The combined company now operates a fleet of 70 vessels, with a team of more than 5,000 employees, annual revenue of over R$4 billion, and a contracted backlog of more than R$14 billion. These figures place OceanPact CBO among Brazil’s leading maritime and offshore service players. The increased scale expands the company’s asset allocation flexibility and significantly increases its capacity to provide highly complex services, such as environmental emergency response, subsea operations, decommissioning, integrated logistics, and environmental projects.
The business combination is built on four strategic pillars: strengthened cash generation and increased potential for dividend payments; expanded operating capabilities through a larger asset base; increased value creation through commercial and operational integration and synergies; and fleet complementarity, resulting in expanded capabilities, a lower average vessel age, optimized asset allocation, and a more diversified client base.

Marcos Tinti, OceanPact CBO’s Navigation VP, emphasized the continuity of CBO’s legacy. “The business combination with OceanPact builds on our history. We continue to carry forward what CBO has achieved over the years: our experience, our best practices, our people and our commitment to safe, efficient and high-quality operations,” he said.
As part of OceanPact’s incorporation of CBO, 274,551,446 new common shares will be issued and will begin trading on the São Paulo Stock Exchange (B3) tomorrow, September 17. The company’s executive management team will comprise Flavio Andrade, Haroldo Solberg, Eduardo de Toledo, Érik Cunha, Adriano Ranieri, and Fernando Borensztein, as well as Marcos Tinti and Marcelo Martins, who are joining from CBO.

This new level of scale will enable the company to convert a greater volume of commercial opportunities and offer the offshore market a more robust, agile, and integrated structure, prepared to generate value across the service value chain.
OceanPact CBO brings together two pioneering companies with deep roots in Brazil’s maritime sector. Founded in 2007, OceanPact has established itself as a leader in consulting, emergency response, and subsea engineering, and is included in the B3 ISE Index, supported by a strategy focused on the transition to low-carbon solutions. CBO has more than 45 years of history and is one of the pillars of Brazil’s offshore support sector, recognized for its operational efficiency and innovative achievements, including a pioneering engine retrofit project to use ethanol.
The new ownership structure reflects a solid capital base, with stakes held by Vinci Compass (21.8%), funds managed by Pátria (21.8%), Flavio Andrade (13.0%), BNDESPar (10.9%), other OceanPact executives (3.8%), and other shareholders (28.7%). The company will be governed by a seven-member Board of Directors chaired by LuÃs Araujo.
